On 7 September 2007 our client, Domestic & General PLC ("D&G") , and a company formed at the direction of Advent International plc announced the terms of the recommended cash acquisition of D&G for 1425 pence per share, valuing D&G at c. £524mlion.

By way of background, on 21 May D&G announced that it had received an approach regarding a potential offer from Homeserve plc. Subsequently, on 28 June, D&G announced that it had received approaches from other interested parties. On 29 August, Homeserve plc announced that it had decided not to pursue an offer for D&G and had accordingly withdrawn from the process. Discussions with Advent, which was one of the other interested parties, have progressed and resulted in the announcement on 7 September.

It is anticipated that the acquisition be implemented by way of a scheme of arrangement with an effective date in December.
